It is designed to protect confidential information, inventions, or artistic creations that may be revealed during proposals, discussions or negotiations. It outlines confidential materials one party, the Discloser, wants to share with another party, the Recipient, for certain purposes. It is a contract through which the Recipient agrees not to disclose information covered by the agreement. It creates a confidential relationship between the parties to protect any type of confidential and proprietary information. It can also be used by employers who are hiring employees or independent contractors.
